Introduction

Welcome to Xylo Solutions. These Terms of Service (“Terms”) govern your access to and use of all services provided by Xylo Solutions, including website development, marketing solutions, and graphic design. By using our website or engaging with our services, you agree to comply with and be bound by these Terms.

Definitions

• ‘We’, ‘Us’, ‘Our’, refers to Xylo Solutions.
• ‘Client’, ‘You’, ‘Your’ refers to the individual or entity engaging our services.
• ‘Services’ refers to all offerings provided by Xylo Solutions, including but not limited to website development, design, and digital marketing.
• ‘Project’ means any task or set of tasks agreed upon between Xylo Solutions and the Client.

Scope of Services

Xylo Solutions provides customized digital solutions, including Shopify and WordPress development, branding and design, SEO, and digital marketing services. All services are defined at the time of project initiation. Additional requests or scope changes will be assessed and billed separately upon agreement.

Payment Terms

Clients are required to make a 50% deposit before the project begins. The remaining 50% is due upon final delivery and approval. Payments must be made via approved payment methods. Failure to make timely payments may result in project delays, paused services, or additional charges. Late payments beyond 7 days are subject to a 10% surcharge.

Refund and Cancellation Policy

Client satisfaction is our top priority. Full refunds are offered if the client is not satisfied and no major progress has been made. Partial refunds (typically 50%) are considered if the project has reached an intermediate phase. Once final deliverables are approved, no refunds are applicable.

Clients may cancel a project at any time by submitting a written request. Upon cancellation, all completed work remains the property of Xylo Solutions until payment is settled.

Intellectual Property Rights

Upon full payment, the client obtains full rights and ownership of all final deliverables. Xylo Solutions retains the right to display completed projects in our portfolio or marketing materials, unless otherwise agreed in writing. Any pre-existing intellectual property of Xylo Solutions remains its sole property.

Use of Third-Party Tools and Licenses

We utilize premium third-party platforms and tools (e.g., Canva Pro, Adobe Creative Cloud, stock asset libraries). These tools enhance the service quality but may have their own licensing policies. Clients are not permitted to re-sell or redistribute such licensed content independently without explicit approval.

Revisions and Scope Changes

Revisions are provided based on the selected service package. Major structural or functional changes beyond the original scope may be subject to extra charges. All revision requests must be submitted in writing and within the support window stated in the plan.

Client Responsibilities

Clients are responsible for:
• Providing accurate and timely information.
• Purchasing and managing their own domain, hosting, and necessary applications.
• Ensuring login credentials are shared securely when required.
• Responding to our communications to avoid delays.

Support and Maintenance

Support is available based on your plan. This may include troubleshooting, updates, and minor content changes. Extended or premium support plans are available upon request. Support does not include full redesigns or major functional upgrades unless specifically stated.

Confidentiality

We respect your confidentiality. Any proprietary business or personal information shared with us will not be disclosed to third parties, except where necessary to perform our services or where required by law.

Limitation of Liability

Xylo Solutions will not be held liable for any direct or indirect loss of data, revenue, or business arising from the use of our services. While we aim for error-free service, we are not responsible for system downtime, third-party failures, or client errors.

Termination

Xylo Solutions reserves the right to terminate any project or relationship without refund in cases of abuse, non-payment, or breach of terms. In such events, all access and licenses may be revoked until full dues are cleared.

Modifications to Terms

We may update these Terms of Service at any time without prior notice. Continued use of our services implies acceptance of any updated terms. We recommend reviewing this page periodically for changes.

Governing Law

These Terms are governed by applicable international business and digital service laws. Any disputes shall be handled under jurisdiction as agreed upon in writing.
